The paragraphs below are the terms and conditions ("Terms") for the Hotspot Directory Service (the "Service" or "HSD") supplied by Connection Services Limited ("CSL", "us", "our" or "we"), to you (the "User" or "You"). Connection Services Limited is a company registered in England and Wales, with registered number 6520674 of Griffins Court 24-32 London Road, Newbury, Berkshire, United Kingdom, RG14 1JX.

By using the Service you represent that you understand and accept these Terms, and agree that anyone who uses the Service will abide by these Terms.

These Terms and the use of the Service by you are subject to the laws of England. If you choose to access the Service from other locations outside of the United Kingdom you do so at your own risk and users are responsible for compliance with local laws, if and to the extent local laws are applicable.

4. Restrictions

When using the Hotspot Directory website and the Services which we make available to you, you agree:

(a) to abide by all applicable laws, regulations and codes of conduct and to be solely responsible for all things arising from your use of the site and the Service;

(b) not to infringe any third party rights, including without limitation, the intellectual property rights of others;

(c) not to damage, interfere with or disrupt access to the site or the Service or do anything that may interrupt or impair its functionality;

(d) to be entirely responsible for and maintain the confidentiality of any user ID and password issued to you by us and notify us immediately of any unauthorised use of your user ID or password or other security breach which you become aware of;

(e) not to publish, post, disseminate, distribute or otherwise transmit any defamatory, offensive, infringing, obscene, indecent or otherwise unlawful or objectionable material or information through the site or the Service or otherwise cause any liability for us or any other user;

(f) not to threaten, harass, stalk, abuse, disrupt or otherwise violate the rights of others, including rights of publicity and privacy; and

(g) to abide by any other acceptable use policy or other terms and conditions which we may specify from time to time which govern the use of the site and the Service and as published from time to time on the HSD website.

We reserve the right to suspend the Service if (i) We reasonably believes that your use of the Service is unreasonably excessive (i.e., in excess of one gigabyte per month); (ii) you are using the Service for criminal or illegal activities or otherwise in breach of any of these Terms.

You do not have the right to resell this Service to a third party.

Intellectual Property

The material and content provided on our website is solely for your personal use, except where expressly permitted, and you agree not for yourself or through or by way of assistance to any third party to distribute or commercially exploit all or any part of such material or content.

All intellectual property rights, including without limitation copyright, in content provided to you by us on our website, is owned by us (or is expressly licensed to us). You may only make a copy of this content for your personal non-commercial use provided that you retain all copyright and other proprietary notices contained in the materials and you agree not to modify, reproduce, republish, upload, post, distribute or otherwise transmit or use the content provided by us in any way without our prior written consent.

The trademarks, logos and service marks (collectively the "Trademarks") displayed on the HSD website are registered and unregistered Trademarks of CSL and others. Nothing contained on the site should be construed as granting, by implication, estoppel or otherwise any license or right to use any Trademark displayed on without our written permission or the permission of any such third party. Your misuse of the Trademarks displayed on the site or any other content on the site, except as provided in these Terms, is strictly prohibited.

Any communication or material transmitted by you to the site by electronic mail or otherwise will be treated as non-confidential and non-proprietary. Anything you transmit or post may be used by us or our affiliates for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, creation of derivative works, broadcast and posting and you agree to waive any moral rights which you may have.

You also may not permit any other member/user to access, display, view, store and reproduce such content for personal use.

Liability

You expressly agree that your use of the Service and browsing of the HSD website are at your own risk. Neither CSL nor any other party involved in creating, producing or delivering the Service is liable for any direct, incidental, special, consequential, indirect or punitive damages arising out of your access to, or use of, or inability to use the Service or any website or linked site to the Service or for the cost of procurement of substitute goods or services or resulting from any goods or services purchased or obtained or messages received or transactions entered into through the site or the Service or resulting from any unauthorized access to or alteration of your transmissions or data, including but not limited to, damages for loss of profits, use, data or other intangible property including legal costs and expenses, even if CSL has been advised of the possibility of such damages.

Without limiting the foregoing, everything on our website and the Service is provided to you "as is" and "as available" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of satisfactory quality, fitness for a particular purpose or non-infringement. Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Check your local laws for any restrictions of limitations regarding the exclusion of implied warranties.

While we use reasonable efforts to include accurate and up to date information on our website, we make no warranties or representations as to its accuracy or completeness. CSL is not responsible for any errors or omissions or for the results obtained from the use of such information. The information is provided with the understanding that the information does not constitute any form of advice, recommendation or arrangement by CSL or its affiliates or any other party involved in the website and is not intended to be relied upon by users in making (or refraining from making) any decisions based on such information. You must make your own decisions on whether or not to rely on any information posted on the website. CSL reserves the right to modify information displayed on the website but it does not make any commitment to update the information displayed on the website.

CSL also assumes no responsibility and shall not be liable for any damages to or viruses that may infect your computer equipment or other property on account of your access to, use of, or browsing of our website or using the Service or your downloading of any materials, data, text, images, video or audio from the website or otherwise accessed via the Service.

While we take all reasonable steps to ensure a fast and reliable service we will not be held responsible for the security of the site or for any disruption of the site however caused, loss of or corruption of any material in transit, or loss of or corruption of material or data when downloaded onto any computer system. You will remain responsible and liable for material you upload on to or access from the site and you will indemnify us in the manner set out below in the Terms in relation to your accessing or uploading.

From time to time we will make available to you links from the site to third party sites. These sites are not in any way approved, checked, edited, vetted or endorsed by us and you agree that we shall not be responsible or liable in any way for the content, advertising or products available from such sites, the quality, functionality, suitability or legality of such sites or for any dealings that you may have, or the consequences of such dealings, with such third party site operators.

Any arrangements made between you and any third party through the Service are at your sole risk and responsibility and CSL expressly disclaims any liability for third party information or opinions posted on this website or any linked websites that arises under criminal or civil laws relating to defamation, intellectual property infringement, privacy, obscenity, or any other area of law.

Indemnity

You agree to indemnify, keep indemnified, defend and hold Connection Services Limited and its parent companies, subsidiaries, affiliates and their respective officers, directors, employees, owners, agents, information providers and licensors (collectively the "Indemnified Parties") harmless from and against any and all claims, damages, liability, losses, costs and expenses (including legal fees) (whether or not foreseeable or avoidable) incurred or suffered by any Indemnified Party and any claims or legal proceedings which are brought or threatened arising from your use of, connection with or conduct on the Connection Services Service or the HSD site or any breach by you of these Terms. Connection Services Limited reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to co-operate with our defence of such claim.

Termination

In the event that we consider or determine, in our sole discretion, that you have breached, violated or contravened any of these Terms or have otherwise demonstrated inappropriate conduct in the use of our site or the Service we reserve the absolute right to:

(a) warn you via e-mail or other method of communication that you have violated these Terms and ask you to discontinue such conduct;

(b) discontinue your membership to the Service and/or any other related subscriptions to additional services; and

(c) take measures (including terminating, suspending or restricting your use of the Service) to prevent you from using the Service.

Privacy

HSD will not disclose your personal information to any third party without your consent, except that we may disclose your information to companies with which we have contracted for the provision of the Service, but only for purposes of providing the Service to you. We may cooperate with legal authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrong, including disclosure of your personal information, but only if we are required to do so by law.

General Information

These Terms and all other legal relationships between CSL and you shall be governed by the laws of England, and are subject to the exclusive jurisdiction of the English courts.

We may assign our rights and obligations under these Terms and upon any such assignment we shall be relieved of any further obligation hereunder.

In the event that any provision of the Terms conflicts with the law under which the Terms are to be construed or if any such provisions are held invalid by a court with jurisdiction over the parties to the Terms, such provision will be deemed to be restated to reflect as nearly as possible the original intentions of the parties in accordance with applicable law, and the remainder of these Terms will remain in full force and effect.

CSL reserves the right to revise, amend or modify these Terms, our other policies and agreements, and aspects of the Service itself. Notice of any revision, amendment, or modification will be posted on HSD's website and will be effective 14 days after posting the same.
